Windsor Machines Limited Receives NCLT Approval for Amalgamation of Global CNC Private Limited
March 19, 2026 – Windsor Machines Limited announced that the National Company Law Tribunal (NCLT), Ahmedabad Bench, has sanctioned the Scheme of Amalgamation between Global CNC Private Limited, a wholly-owned subsidiary of Windsor Machines Limited, and Windsor Machines Limited, along with their respective shareholders and creditors.The Scheme, which has an Appointed Date of April 1, 2025, was listed for pronouncement of order on March 19, 2026. The NCLT order has been uploaded on the NCLT website.
Global CNC Private Limited has a registered office at Survey No 1148, Village-Chibhda, Sub-District-Lodhika, District-Rajkot, Gujarat-360035. Windsor Machines Limited's registered office is located at Floor No. 3 & 4, Corporate House No. 6, Block B, Magnet Corporate Park, Off. S G Highway, Thaltej, Ahmedabad, Gujarat, India, 380054.
The rationale for the amalgamation includes streamlining the group structure and consolidating assets and liabilities, leading to synergies of operations and expansion, and achieving optimal utilization of capital.
The certified copy of the NCLT Order is awaited, and the Scheme will become effective upon filing with the Registrar of Companies.
