Veekayem Fashion and Apparels Limited Approves Increase in Authorized Share Capital​

The Board of Directors of Veekayem Fashion and Apparels Limited convened a meeting on April 4, 2026, and approved significant corporate actions, including a substantial increase in the company's authorized share capital.

The board considered and approved raising the company's authorized share capital. The authorized share capital was approved to increase from ₹11,00,00,000 (Rupees Eleven Crore Only) to ₹20,00,00,000 (Rupees Twenty Crore Only) through the creation of additional equity shares. These new shares will rank pari passu with the existing equity shares of the company.

The proposed capital increase necessitates consequential documentation changes. The Board also approved the alteration of the Capital Clause (Clause V) of the Memorandum of Association of the Company, to reflect the enhanced capital structure. Furthermore, approval was granted for the draft notice convening an Extraordinary General Meeting to seek shareholder endorsement for both the increased authorized share capital and the consequential amendment to the Memorandum of Association.

For the conduct of the e-voting process and voting at the upcoming Extra-Ordinary General Meeting, the Board appointed Mr. Hemant Maheshwari, working under the name and style of M/s. H. Maheshwari & Associates, Practicing Company Secretary, to serve as the Scrutinizer, ensuring a fair and transparent voting process.
