Utkarsh Small Finance Bank Shareholder Meeting Approves Amalgamation Scheme​

Utkarsh Small Finance Bank Limited held a meeting of equity shareholders on Saturday, March 28, 2026, at 12:30 p.m. (IST) via video conferencing. The meeting was convened pursuant to an order from the National Company Law Tribunal (NCLT), Allahabad Bench, Prayagraj, dated February 11, 2026, concerning the Scheme of Amalgamation between Utkarsh CoreInvest Limited and Utkarsh Small Finance Bank Limited.

According to attendance records, 43 members were present at the meeting. Dr. Santosh Kumari, appointed by the NCLT, chaired the meeting, with Mr. Anant Prakash serving as the Alternate Chairperson. Other attendees included Dr. Kshatrapati Shivaji, Mr. Ajay Kumar Kapur, Mr. Govind Singh, and Mr. Sarju Simaria. Mr. Muthiah Ganapathy, Company Secretary & Compliance Officer, welcomed attendees and introduced key personnel. Chartered Accountant Mr. Sumit Agrawal, the NCLT-appointed scrutinizer for the e-voting process, was also present.

Shareholders were provided with a remote e-voting facility from March 25, 2026, to March 27, 2026, and an e-voting facility during the meeting and for 30 minutes after its conclusion. Mr. Govind Singh, Managing Director & Chief Executive Officer, addressed shareholder queries.

The sole resolution considered at the meeting pertained to the approval of the Scheme of Amalgamation between Utkarsh CoreInvest Limited and Utkarsh Small Finance Bank Limited and their respective shareholders, which was conducted via e-voting.

The meeting concluded at 01:50 p.m. (IST), with the Chairperson authorizing the NCLT-appointed scrutinizer to announce the results of the e-voting.
