Transrail Lighting Ltd. Receives Warning Letters from Stock Exchanges

Transrail Lighting Ltd. announced that it received warning letters from the Bombay Stock Exchange (BSE) and the National Stock Exchange (India) Limited (NSE) on April 1, 2026. The letters pertain to a disclosure made by the company on May 16, 2025, regarding the cessation of employment of Major Sukriti Shukla Retd.

The exchanges noted that the initial disclosure stated Major Shukla was "no longer serving as Chief Human Resource Officer and Senior Management Personnel," instead of specifying "termination." Transrail Lighting Ltd. stated it intentionally avoided explicitly stating "termination" to prevent potential negative impacts on Major Shukla's professional reputation and future employment prospects.

The warning letters cite violations of Regulation 30 read with Sub-para 7 of Para A of Part A of Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and Regulation 4(I) concerning inaccurate reasons for change and misleading information.

Transrail Lighting Ltd. affirmed its commitment to ensuring accurate reasons are stated in future disclosures in compliance with SEBI regulations.
