Mumbai, March 28, 2026 – Swan Corp Ltd. reported that shares held by promoters Swan Realtors Private Limited and Swan Engitech Works Private Limited have been pledged.

According to a filing, the total promoter shareholding in Swan Corp Ltd. consists of 16,91,48,000 shares, representing 53.96% of the total share capital. The cumulative shareholding of Swan Realtors Private Limited and Swan Engitech Works Private Limited, both part of the promoter group, amounts to 7,99,91,858 shares, or 25.52% of the total share capital. Swan Realtors Private Limited holds 4,15,89,000 shares, and Swan Engitech Works Private Limited holds 3,84,02,858 shares.

A total of 4,35,00,000 shares, representing 13.88% of the total promoter shareholding, have been pledged. Swan Realtors Private Limited pledged 3,00,00,000 shares, representing 72.13% of its total shareholding, while Swan Engitech Works Private Limited pledged 1,35,00,000 shares, representing 35.15% of its total shareholding.

The encumbered shares were pledged to IDBI Trusteeship Services Limited, acting as a security trustee. The total value of the shares on the date of the event was Rs. 1469.87 crores, and the amount involved against which the shares were encumbered is Rs. 1,150 crores. The ratio of the value of shares to the amount involved is 1.28.

The borrowed funds are intended to secure a financial facility for a group entity. The encumbrance was created on March 24, 2026.
