Sical Logistics to See Promoter Merge with Promoter Group Entity​

On April 9, 2026, the boards of directors of Pristine Malwa Logistics Park Private Limited, the promoter and holding company of Sical Logistics Ltd, and Pristine Logistics & Infraprojects Limited, the promoter group entity and ultimate holding company, approved a Scheme of amalgamation. The boards considered and approved the amalgamation of the Promoter with the Promoter Group Entity and their respective shareholders and creditors under Section 233 of the Companies Act, 2013, read with Rule 25 of the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016.

The proposed transaction, which involves an acquisition pursuant to the Scheme, falls within the exemption under Regulation 10(1)(xiii) of Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.

Upon the Scheme becoming effective, the Promoter will stand merged with the Promoter Group Entity, and there will be no change in the aggregate holding of the promoter and promoter group before and after the Scheme. Furthermore, the management or control of the Company will remain unchanged.

The amalgamation will result in the Promoter dissolving without undergoing a winding up process; instead, it will be succeeded by the Promoter Group Entity. This transition ensures no change in the management and control of Sical Logistics Ltd.

The shareholding pattern of the Company will reflect the Promoter Group Entity as the promoter of the Company, although there will be no change in the issued and paid-up share capital of the Promoter Group Entity and the Company.
