Ramky Infrastructure Limited Board Approves Related Party Transactions and Sponsor Support​

Hyderabad, March 22, 2026 — Ramky Infrastructure Limited (RIL) announced key decisions following a board meeting held on March 21, 2026. The meeting, which commenced at 3:00 PM and concluded at 9:15 PM, addressed several strategic matters.

The board granted omnibus approval for proposed related party transactions for the fiscal year 2026-27. Additionally, subject to approval from the directors of Srinagar Banihal Expressway Limited (SBEL), RIL approved providing a sponsor shortfall undertaking and pledged 51% of the equity share capital of SBEL held by RIL.

Shareholders will be asked to approve material related party transactions for the fiscal year 2026-27 through a postal ballot.

RIL also approved undertaking specific activities related to a proposed loan to be availed by Mallannasagar Water Supply Limited (MWSL), a subsidiary of RIL, from its lenders. These activities include:

  • Creation of a pledge of 51% equity shares held by RIL in MWSL.
  • Creation of a charge on an unsecured loan extended by RIL to MWSL.
  • Providing a corporate guarantee for the loan being availed by MWSL.

N. Kesava Rao, Company Secretary, made the announcement. RIL’s stock trades on the National Stock Exchange under the symbol RAMKY and on the BSE under the code 533262.
