PNC Infratech Completes Sale of Equity Stake in Road Project​

New Delhi, March 27, 2026: PNC Infratech Limited, along with its wholly owned subsidiary, PNC Infra Holdings Limited, announced the successful completion of the sale of its equity stake in PNC Challakere (Karnataka) Highways Private Limited to Vertis Infrastructure Trust ('VIT'), an Infrastructure Investment Trust sponsored by affiliates of KKR.

This transaction concludes the final tranche of a strategic divestment initiative that began in January 2024. Under this initiative, PNC Infratech entered into definitive agreements with VIT to divest a portfolio of 12 road assets, consisting of 11 National Highway Hybrid Annuity Mode (HAM) projects and 1 State Highway BOT (Toll) project. The total aggregate length of these assets is approximately 3,800 lane-km, spanning Uttar Pradesh, Madhya Pradesh, Karnataka, and Rajasthan.

With the transfer of PNC Challakere (Karnataka) Highways Private Limited, PNC Infratech has now completed the divestment of all 12 assets. The transaction was concluded at an Enterprise Value of Rs. 683.84 crore, including Rs 80.48 crore received towards Equity and Rs 134.94 crore received towards Unsecured Loans on March 27, 2026.

The completion of this transaction marks a significant milestone in the company’s asset monetization strategy, aimed at unlocking value, strengthening the balance sheet, and enhancing financial capability for future investment opportunities.
