NCLT Approves Next Step in Veranda Learning’s Commerce Vertical Demerger

Chennai: Veranda Learning Solutions (VLS) is proceeding with its planned demerger and separate listing of J.K. Shah Commerce Education Limited (JSCEL), following a directive from the National Company Law Tribunal (NCLT) Chennai Bench.

The NCLT has instructed VLS to convene a meeting of its equity shareholders on April 24, 2026, via video conferencing, to approve a Composite Scheme of Arrangement involving VLS, Veranda XL Learning Private Limited (VXLS), and JSCEL. This scheme, initially announced in September 2025, aims to simplify the group’s structure and sharpen the strategic focus on the commerce segment through a separate listed entity.

The NCLT’s decision streamlines the process by dispensing with multiple stakeholder meetings.

Suresh Kalpathi, Executive Director and Chairman of Veranda Learning, stated that the scheme is designed to create a more focused and agile organization, enabling efficient scaling and greater value for learners and stakeholders.

Prof. J.K. Shah, who will serve as the chairman and CEO of J.K. Shah Commerce Education Limited, expressed encouragement regarding the progress, emphasizing the combination of strong capabilities and a shared intent to expand access to high-quality commerce education.

Veranda Learning Solutions Limited, established in 2018 by the Kalpathi AGS Group, operates in schools, colleges, test preparation, study abroad, and software upskilling. The company integrates technology, processes, and methodologies to provide personalized learning experiences. Further information is available at www.verandalearning.com.
