Lyka Labs Ltd Scheme of Amalgamation Sanctioned by NCLT
Lyka Labs Limited announced that the Scheme of Amalgamation involving Lyka Exports Limited, acting as the Transferor Company, and Lyka Labs Limited, the Transferee Company, has received sanction from the Hon'ble National Company Law Tribunal, Ahmedabad Bench.The NCLT passed its order on March 16, 2026. Lyka Labs Limited received the certified true copy of this order on March 24, 2026. Both the Transferor Company and the Transferee Company filed the certified copy of the NCLT order with the Registrar of Companies, Ahmedabad, on April 8, 2026. Consequently, the Scheme became effective from Wednesday, April 8, 2026. The Appointed Date for the Scheme remains April 1, 2022.
In accordance with the Scheme, the authorized share capital of the Company automatically increased to the aggregate authorized share capital of the Transferor Company upon the Scheme's effectiveness. The Memorandum of Association of the Company has seen its Clause V replaced/substituted.
