LS Industries Ltd. Increases Investment in Robochef Agritech, Plans to Make it a Subsidiary​

LS Industries Limited announced an additional investment of Rs. 31,50,000 in Robochef Agritech Private Limited on March 30, 2026. This follows a previous board resolution from November 14, 2025, authorizing an investment of Rs. 7,50,000. The total investment now amounts to Rs. 39,00,000, representing a 78% stake in Robochef Agritech’s equity share capital.

The company intends to make Robochef Agritech a subsidiary. Robochef Agritech, incorporated under the Companies Act, 2013, is based in Ludhiana, Punjab, and operates in the agritech sector, specializing in hydroponics farming and food processing automation.

The move represents a strategic diversification for LS Industries, which currently operates in the textile, paper trading, and related businesses. The acquisition is expected to create synergies through leveraging financial strength, managerial expertise, scaling operations, and enhancing market reach.

The Board of Directors’ meeting, which commenced at 4:00 p.m. (IST) and concluded at 4:30 p.m. (IST), also considered and approved other general businesses.

The acquisition involves a cash consideration and is considered a related-party transaction due to a common director, Mr. Nipun Goyal, who is also the Managing Director of LS Industries and a director of Robochef Agritech. The transaction was conducted at arm’s length. The funds will be used by Robochef Agritech to expand its production capacity. The acquisition is expected to be completed by April 30, 2026.
