
Larsen & Toubro Receives Observations on Proposed Scheme of Arrangement
Larsen & Toubro Limited (NSE: LT, BSE: 500510) announced it has received observation letters from the Bombay Stock Exchange (BSE) and the National Stock Exchange of India Limited (NSE) regarding the proposed Scheme of Arrangement between Larsen & Toubro Limited and L&T Realty Properties Limited. The Scheme involves Larsen & Toubro Limited as the transferor company and L&T Realty Properties Limited as the transferee company, along with their respective shareholders and creditors.The observations, dated March 18 and 19, 2026, respectively, were issued following the company's application under Regulations 37 of the Securities and Exchange Board of India (SEBI) Listing Regulations. The BSE’s observations include compliance with Regulation 11 of the SEBI Listing Regulations and disclosure of ongoing adjudication and recovery proceedings. The NSE’s observations similarly emphasize compliance with SEBI regulations and disclosure requirements, including financials not older than six months.
Both exchanges’ letters note that the Scheme must be acted upon subject to complying with the mentioned clauses and that any changes require written consent from SEBI. The observation letters are valid for six months.
