
Kriti Nutrients Ltd. Holds Extraordinary General Meeting
Kriti Nutrients Ltd. held its 1/2025-26 Extraordinary General Meeting (EGM) on Friday, March 20, 2026, at 12:00 P.M. and concluded at 12:19 P.M. The meeting was conducted via video conferencing.A total of 47 members attended the meeting through video conferencing, fulfilling the quorum requirement of 30 members as mandated by the Companies Act, 2013.
Mr. Shiv Singh Mehta, Chairman of the Company, presided over the meeting. The agenda included approvals for alterations to the company's Memorandum of Association and Articles of Association.
Key Resolutions Passed:
- Alteration of Memorandum of Association: Members approved the insertion of a new clause 35A into Clause III(B) of the Memorandum of Association, enabling the company to engage in the business of generating, producing, refining, improving, buying, selling, and dealing with power derived from various sources including solar, wind, and thermal methods.
- Alteration of Articles of Association: Members approved the insertion of a new Article 92 into the Articles of Association, authorizing the Board of Directors to establish, purchase, and manage electricity generation plants and facilities.
The Head - Accounts informed the members that electronic copies of the Notice were sent via email and that original documents were available for inspection. CS Ishan Jain was appointed as the scrutinizer for the remote e-voting process.
Results of the e-voting will be communicated separately within two working days.
