Indian Emulsifiers Limited announced that its Board of Directors, at a meeting held on April 17, 2026, approved the allotment of Non-Convertible Debentures (NCDs) aggregating to Rs 10,00,00,000/-. This capital infusion was executed through a Private Placement basis, with the funds going to LC Venture Debt Fund.The company approved the allotment of 100 'Series A - 13.75 %Fixed Rated, Unlisted, Secured, Unrated, Non-Convertible Debentures' to LC Venture Debt Fund. Each debenture has a face value of Rs 10,00,000/- (Rupees Ten Lakh only), and the total size of the issue is Rs 10,00,00,000/- (Rupees Ten Crore only).
The issued debentures carry a fixed coupon rate of 13.75% per annum. The investment tenure is set for 30 months, with the debentures having an allotment date of April 17, 2026, and a maturity date of October 17, 2028.
The repayment structure includes a 6 months moratorium period, followed by equal monthly principal installments, which are payable on the 1st Calendar Day of each month. In the event of default or delay in the payment of interest and/or principal, an additional interest rate of 2.00% per month shall be payable on the overdue amount. The Series A Debentures are scheduled for full redemption through 30 equal monthly installments.
The debentures are secured by multiple charges, providing robust collateral for the facility. These include:
- A first-ranking pari-passu charge over all current assets of the Company, both present and future (including receivables, intellectual property, and brand).
- A second charge on existing fixed assets that are charged to existing lenders.
- A second charge on fixed assets arising from upcoming capital expenditures.
- A personal guarantee from the Promoter.
The debentures are classified as Series A - 13.75 %Fixed Rated, Unlisted, Secured, Unrated, Non-Convertible Debentures. The allotment was approved at par.
