A total of 3,31,81,173 equity shares of HMA Agro Industries Limited are proposed for sale by the company's promoters—Zulfigar Ahmad Qurashi, Mohammad Ashrat Qureshi, Mohammad Mehmood Qureshi, Gulzar Ahmad, and Wajid Ahmed. The offer represents approximately 6.63% of the total issued and paid up equity share capital.

The sale is slated to occur through the Stock Exchange Mechanism (OFS) and the designated seller's broker for the transaction is BCB Brokerage Private Limited.

Offer Sale Details and Timeline​

The sale of the Sale Shares is scheduled across two dates:

• Non-Retail Investors: Thursday, April 09, 2026 (T day), with the sale window commencing at 9:15 a.m. and closing at 3:30 p.m.
• Retail Investors and Non-Retail Investors: Friday, April 10, 2026 (T+1 day), with the sale window operating from 9:15 a.m. to 3:30 p.m. (Indian Standard Time).

Non-Retail Investors are restricted to placing bids only on T day, while Retail Investors can place bids only on T+1 day. Non-Retail Investors who place bids on T day may indicate willingness to carry forward their unallotted bids to T+1 day.

The total number of Sale Shares proposed for sale is 3,31,81,173 equity shares.

Allocation Framework​

The allocation methodology distinguishes between Retail and Non-Retail categories, with specific guidelines governing the transfer of unallotted bids.

Key Pricing and Allocation Parameters​

The Floor Price for the Sale has been set at Rs. 18/- per share. Retail Discount is noted as Not Applicable.

The allocation follows these guidelines:

1. Non-Retail Category Allocation: The sale shall occur at or above the Floor Price on a price priority basis at multiple clearing prices, as per the SEBI OFS Circular.
2. Retail Category Allocation: Retail Investors have the option to bid at or above the Cut-Off Price. Minimum 10% of the Offer Shares are reserved for the Retail Category.
3. Oversubscription: In case of oversubscription in the Retail Category, allocation will be proportional based on the aggregate bids.
4. Reserved Quotas: A minimum of 25% of the Offer Shares are reserved for Mutual Funds and Insurance Companies, subject to valid bids at the Floor Price.

Bid Carrying Forward Mechanics​

If the Retail Category has any unsubscribed portion after allocation, these shares will be eligible for allocation to Non-Retail Investors who opt to carry forward their un-allotted bids to T+1 day. Conversely, any unsubscribed portion from the Non-Retail Category will be available to the Retail Category, also at the Floor Price.

Settlement Schedule​

Settlement timelines are dependent on the category of the bid and the upfront deposit status:

• Non-Institutional Investors (100% upfront deposit): Settlement on T+1 day.
• Institutional Investors (Bids without 100% upfront deposit): Settlement as per existing rules for secondary market transactions (T+2 day).
• Retail Category (Bids on T+1 day): Settlement on T+3 day.
• Un-allotted Non-Retail Investors (T+1 day): Settlement on T+2 day if 100% deposited upfront, or T+3 day otherwise.

The equity shares of the Company, excluding the Offer Shares, will continue to trade normally in the market.
