Hindustan Foods Limited to Acquire Beauty Care and Cosmetic Products Manufacturing Business​

Hindustan Foods Limited (HFL), a Vanity Case Group company, announced it has entered into a Business Transfer Agreement (BTA) to acquire the Business Undertaking of M/s. Ultra Beauty Care Private Limited. The Aurangabad, Maharashtra-based undertaking manufactures ayurvedic, herbal, beauty care, and cosmetic products for large FMCG companies and direct-to-consumer (D2C) players.

The acquisition will be executed on a slump sale and going concern basis, subject to the fulfillment of certain conditions precedent as outlined in the BTA. HFL anticipates completing the acquisition by the first quarter of fiscal year 2026-27.

According to Managing Director Sameer Kothari, the move expands HFL's presence in the fast-growing beauty and personal care segment and caters to brands seeking flexible production runs. The facility's proximity to Mumbai Port will also enable export opportunities.

The factory is built on a 6-acre land area, and HFL plans to leverage the available land and infrastructure to construct a beverage manufacturing facility.

HFL was founded in 1984 and offers dedicated and shared manufacturing services. In 2013, Vanity Case India Private Limited acquired a controlling stake, leading to diversification across various FMCG categories.
