Genus Power Infrastructures Details Apportionment of Cost of Acquisition Post-Demerger​

Genus Power Infrastructures Limited is undergoing a demerger involving the separation of its Strategic Investment Business into a new entity, Genus Prime Infra Limited. This restructuring, governed by a Scheme of Arrangement, necessitated an advisory on the apportionment of the cost of acquisition for equity shares of both the original and resulting companies.

The arrangement was sanctioned by the Hon'ble National Company Law Tribunal, Allahabad Bench, through an order dated April 24, 2025. This scheme included the demerger of the Strategic Investment Business (the Demerged Undertaking) of Genus Power Infrastructures Limited (the Company) into Genus Prime Infra Limited (the Resulting Company), along with the respective shareholders and creditors.

The scheme details an exchange mechanism for shareholders of the Company. The Resulting Company is set to issue and allot one fully paid-up equity share of the Resulting Company, which has a face value of ₹ 2/- each, for every six fully paid up equity shares of the Company, which have a face value of ₹ 1/- each. This allotment is applicable to shareholders recorded in the register of members and/or records of the depository as on the Record Date, which was Friday, February 06, 2026.

For shareholders determining the post demerger cost of acquisition of equity shares, guidance was provided on apportioning the pre demerger cost of acquisition. The suggested apportionment percentages are as follows:
