
G R Infraprojects Transfers Three Subsidiaries to Indus Infra Trust
G R Infraprojects Limited announced the successful transfer of three wholly-owned subsidiaries – GR Bilaspur Urga Highway Private Limited (GBUHPL), GR Ujjain Badnawar Highway Private Limited (GUBHPL), and GR Ena Kim Expressway Private Limited (GEKEPL) – to Indus Infra Trust on March 25, 2026.The transfer follows receipt of consideration from Indus Infra Trust and effectively terminates GBUHPL, GUBHPL, and GEKEPL’s status as wholly-owned subsidiaries of G R Infraprojects.
GR Ena Kim Expressway Private Limited was a material subsidiary and required shareholder approval, which was obtained via postal ballot.
According to financial data as of March 31, 2025, GEKEPL contributed 75,384 Lakhs to the consolidated income (10.19%) and 8,255.86 Lakhs to the consolidated net worth (0.97%). GBUHPL contributed 60,616.12 Lakhs to the consolidated income (8.20%) and 10,242.46 Lakhs to the consolidated net worth (1.21%). GUBHPL contributed 31,813.35 Lakhs to the consolidated income (4.30%) and 2,111.37 Lakhs to the consolidated net worth (0.25%).
The total consideration for the transfer of GR Bilaspur Urga Highway Private Limited was 1,02,93,01,000 INR. The consideration for GR Ujjain Badnawar Highway Private Limited was 16,50,94,000 INR, and for GR Ena Kim Expressway Private Limited was 1,53,78,00,000 INR. Indus Infra Trust is not affiliated with the promoter group of G R Infraprojects Limited and the transaction was executed at arm’s length.
