G R Infraprojects Ltd. Enters Agreement to Transfer Subsidiaries to Indus Infra Trust
G R Infraprojects Limited announced on March 25, 2026, that it has entered into a Share Purchase Agreement with Indus Infra Trust for the transfer of 100% equity shares of three wholly-owned subsidiaries: GR Bilaspur Urga Highway Private Limited (GBUHPL), GR Ujjain Badnawar Highway Private Limited (GUBHPL), and GR Ena Kim Expressway Private Limited (GEKEPL).The completion of the transfer is contingent upon meeting contractual obligations outlined in the share purchase agreement. Upon completion, GBUHPL, GUBHPL, and GEKEPL will cease to be wholly-owned subsidiaries of G R Infraprojects Limited.
The consideration for the sale is as follows: Rs. 1,02,93,01,000 for GBUHPL, Rs. 16,50,94,000 for GUBHPL, and Rs. 1,53,78,00,000 for GEKEPL.
The anticipated completion date for the transfer is on or before June 30, 2026.
GR Ena Kim Expressway Private Limited is considered a material subsidiary of the company. Shareholder approval was obtained via postal ballot on March 20, 2026. GBUHPL and GUBHPL are not material subsidiaries.
Indus Infra Trust is a related party, and the transaction is occurring at "arms' length."
