Fractal Analytics Limited announced a reduction in the equity share capital of its subsidiary, Senseforth AI Research Private Limited, effective March 23, 2026. The change follows a final order and rectified order from the Hon'ble National Company Law Tribunal (NCLT) in Mumbai, dated September 23, 2025.

According to the NCLT order, Senseforth’s equity share capital was reduced from Rs. 26,27,88,470, comprising 2,62,78,847 fully paid-up equity shares of Rs. 10 each, to Rs. 2,62,88,270, comprising 26,28,827 fully paid-up equity shares of Rs. 10 each. This involved extinguishing a total of 2,36,50,020 fully paid-up equity shares of Rs. 10 each, amounting to Rs. 23,65,00,200.

The capital reduction was conducted in compliance with Section 66 of the Companies Act, 2013, and includes the necessary approval from the NCLT. Fractal Analytics stated that the restructuring simplifies the corporate structure, eliminating redundancies and enhancing management focus.
