Five-Star Business Finance Limited Converts Share Warrants to Equity Shares​

Five-Star Business Finance Limited announced the conversion of 310,000 share warrants into an equivalent number of equity shares on March 24, 2026. The conversion was executed at a warrant price of INR 770.00 per share, comprising a face value of INR 1.00 and a premium of INR 769.00.

The Board of Directors approved the allotment of the 310,000 equity shares through a circular resolution on March 23, 2026.

Following the conversion, the paid-up share capital of the company increased from INR 29,45,66,168 to INR 29,48,76,168. The increase consists of 29,45,66,168 equity shares to 29,48,76,168 equity shares, each with a face value of INR 1.00.

The newly allotted shares are subject to lock-in requirements as per applicable regulations. The shares will be credited to the allottees' demat accounts upon receiving the necessary approvals from the National Stock Exchange and the BSE Limited.

The conversion of the warrants, which were issued on a preferential basis and valid until April 24, 2026, resulted in a promoter group holding increasing from 18.41% to 18.48% on a fully diluted basis.
