Epuja Spiritech Limited to Seek Shareholder Approval for Reclassification and Stock Options​

Epuja Spiritech Limited announced on March 26, 2026, that it will seek approval from its shareholders via postal ballot through electronic voting for two special business matters. The company is requesting reclassification for Winfotel Infomedia Technologies Pvt Ltd and Divit India Services Pvt Ltd from a "Promoter" category to a "Public" category shareholder. Additionally, the company aims to add 30,00,000 stock options under the 'EPUJA SPIRITECH EMPLOYEE STOCK OPTION SCHEME 2026.

The reclassification request was submitted by Winfotel Infomedia Technologies Pvt Ltd and Divit India Services Pvt Ltd. Upon approval, Winfotel Infomedia Technologies Pvt Ltd will hold 9,000,000 shares, representing 7.95% of the company’s shares, and Divit India Services Pvt Ltd will hold 75,000 shares, representing 0.06%.

The remote e-voting period will commence on Friday, March 27, 2026, at 9:00 a.m. (IST) and conclude on Saturday, April 25, 2026, at 5:00 p.m. (IST). Shareholders holding shares as of Friday, March 20, 2026, are eligible to vote electronically.

The addition of 3,00,00,000 stock options will be convertible into 3,00,00,000 equity shares. These options will be granted to eligible employees and directors, excluding promoters and those holding more than 10% of the company’s shares, as determined by the Nomination and Remuneration Committee.
