EMA India Ltd. Approves Amalgamation with Dynalog India Limited
Kanpur, India – March 27, 2026 – EMA India Ltd. announced today that its Board of Directors has approved a proposed Scheme of Amalgamation with Dynalog India Limited. The amalgamation is subject to statutory and regulatory approvals, including approval from the National Company Law Tribunal (NCLT).Under the terms of the scheme, EMA India Limited ("Transferor Company") will merge with Dynalog India Limited ("Transferee Company"). The Transferor Company has assets of 590.76 Lakhs and no turnover, while the Transferee Company possesses assets of 9954.27 Lakhs and a turnover of 8582.44 Lakhs.
The proposed amalgamation is intended to achieve several objectives, including optimizing the group structure, reducing operational costs, and strengthening the combined entity’s financial position. The Transferee Company and its promoters collectively control and manage the Transferor Company, holding 45.03% of its total issued, subscribed, and paid-up capital. The transaction has been evaluated at arm’s length based on a report from SSPA & Co., Chartered Accountants Registered Valuer and fairness opinion from Mark Corporate Advisors Private Limited, SEBI Registered Merchant Banker.
The Board-approved share exchange ratio stipulates that for every 25 fully paid equity shares of Rs. 10 each held in the Transferor Company, shareholders will receive 28 fully paid equity shares of Rs. 10 each in the Transferee Company. Fractional shares arising from the allotment will be consolidated and sold in the open market within 90 days to benefit the concerned shareholders.
The combined entity will have a net worth of approximately 51.45 crore. The Board meeting commenced at 3:35 PM and concluded at 4:15 PM.
