Cube Highways Trust Executes Commitment Letter and ROFO Agreement​

Cube Highways Trust announced today, March 17, 2026, that its Investment Manager has entered into agreements to acquire equity stakes in several companies.

The agreements, made in accordance with SEBI regulations, include a binding commitment letter with Axis Trustee Service Limited, Cube Highways and Infrastructure V Pte. Ltd., Cube Highways and Infrastructure II Pte. Ltd., Baharampore Farakka Highway Limited (BFHL), Devanahalli Tollway Private Limited (DTPL), Western MP Infrastructure and Toll Roads Private Limited (WMTPL), and Chenani Nashri Tunnelway Limited (CNTL). This agreement outlines the acquisition of 100% of the equity share capital of BFHL and DTPL, at least 95% of the equity share capital of WMTPL, and 100% of the equity share capital of CNTL, subject to certain terms and conditions.

Additionally, Cube Highways Trust entered into a right of first offer (ROFO) agreement with Cube Highways and Infrastructure V Pte. Ltd. regarding assets held by the sponsor. The ROFO agreement grants the Trust the right of first offer on these assets under specific terms and conditions.

The transactions were facilitated by Cube Highways Fund Advisors Private Limited, acting as the Investment Manager to Cube Highways Trust.

Richa Gupta Rohatgi, Company Secretary and Compliance Officer at Cube Highways Fund Advisors Private Limited, confirmed the execution of these agreements.
