CSCGlobal Capital Markets Acts as Security Agent for Nirlon Limited Shares​

CSCGlobal Capital Markets (Singapore) Pte. Ltd. is acting as the security agent regarding an indirect encumbrance created over the equity shares of Nirlon Limited. This action relates to a facilities agreement dated June 9, 2025, between entities including BSREP IV FPI Two Holdings (DIFC) Limited (the Borrower).

The security right was established pursuant to a DIFC law governed share security agreement dated April 7, 2026. Under this agreement, the Parent, Villa Park Holdings (DIFC) Limited, which holds 100% of the total share capital of the Borrower, created the security right over all shares of the Borrower in favor of CSCGlobal Capital Markets (Singapore) Pte. Ltd., acting for the benefit of Barclays Bank PLC.

As of the date of the disclosure, the Borrower owned 10,545,558 shares in Nirlon Limited, representing approximately 11.7% of the total share capital of the Target Company.

The equity share capital and total voting capital of Nirlon Limited before and after the acquisition remains INR 90,11,80,400, comprising 9,01,18,040 equity shares of INR 10 each, as per the shareholding pattern for the quarter ended December 2025. The total diluted share/voting capital of the Target Company after the said acquisition is also INR 90,11,80,400, comprising 9,01,18,040 equity shares of INR 10 each.

The acquisition mode is recorded as an Encumbrance over 10,545,558 shares of the Target Company.

Stock Price Movement​

At the close of trading Wednesday, Nirlon Ltd settled at ₹520.40, chipping down 4.0% for the day. Shares drifted through a noticeable intraday range, testing highs near ₹531.00 before dipping toward ₹515.55.
