Beryl Drugs Schedules Board Meeting, Approves Key Appointments and Transactions
Beryl Drugs Ltd. announced that a meeting of its Board of Directors is scheduled for Wednesday, April 1, 2026, at 11:00 AM at the company's registered office in Indore.The board will consider and approve the date and notice for an Extraordinary General Meeting (EOGM) to regularize the appointment of Mr. Shailendra Pathak as Whole Time Director and to appoint Mrs. Neha Sarda as an Independent Director. The EOGM will also address the approval for material Related Party Transactions with Aminova Infusions P. Ltd., where Mr. Pathak holds 50% equity.
Additional agenda items for the board meeting include fixing the cutoff date and remote e-voting period for the EOGM. Dipika Kataria will be appointed as the Scrutinizer for the remote e-voting and voting process at the EOGM.
The board will also authorize directors to authenticate and file forms under the Companies Act, 2013, on behalf of the company. Abhay Bhandari & Associates, Chartered Accountants, are slated to be appointed as Internal Auditor for the Financial Year 2026-2027.
Furthermore, the board will review disclosures of interest from directors under section 184 (1) and authorize Mr. Sudhir Sethi as the signing authority for tender-related documents for the year 2026-2027. The board may also consider other resolutions with the permission of the chair.
