Amber Enterprises Acquires Remaining Stake in Amber Resojet, Subsidiary Status Secured
Amber Enterprises India Limited has entered into a Share Purchase Agreement (SPA) to acquire the remaining 50% equity stake in Amber Resojet Private Limited, marking a move to consolidate its operations. The acquisition, finalized on April 3, 2026, will transform Amber Resojet into a wholly-owned subsidiary (WOS) of Amber Enterprises.Under the terms of the SPA with LCGC Resolute Appliances LLP, Amber Enterprises will acquire 10,000 equity shares representing the 50% stake for an aggregate consideration of approximately INR 1.74 crore, payable in one or more tranches.
The transaction is considered a related party transaction as Amber Enterprises and LCGC Resolute Appliances LLP are related parties. The acquisition is occurring at arm’s length.
Amber Resojet Private Limited, incorporated in April 2022, is engaged in the manufacturing and assembly of fully automatic washing machines. The company's registered office is located in Raviryal Village, Maheshwaram Mandal, Kandukur, K.V. Rangareddy, Telangana.
The acquisition is expected to be completed within 30 to 45 days.
